The Atlanta office of a global law firm is seeking a Corporate Paralegal who has at least three years of experience.

This Corporate Paralegal will join a successful and friendly team and will assist with corporate governance and maintenance functions as well as corporate transactional matters including:

• Performing research and due diligence
• Preparing closing documents and binders and signature pages and coordinating closings with all involved parties
• Assisting with corporate formations, mergers and acquisitions and dispositions
• Drafting and filing Articles of Incorporation, UCC financing statements and other related documents
• Obtaining EIN numbers
• Drafting Board of Director and Shareholder documents
• Preparing Stock certificates
• Maintain corporate records, minute books, annual reports and consents

Successful candidates will have exceptional organizational skills, the ability to priority and multitask, superior communication skills, attention to detail and be able to manage critical deadlines.
