A national law firm seeks a Corporate Paralegal for their Miami office. The ideal candidate will have 3+ years of corporate and transactional experience. This role will be responsible for handling all general corporate paralegal work for the Firm's corporate department. The ideal candidate will have superior organizational skills, can handle a high volume and fast-paced environment, pays strict attention to detail, and takes initiative to ensure all tasks are completed in a timely manner.
Duties and Responsibilities:
- Form, merge, and dissolve entities.
- Prepare documents for filing with Departments of State and other jurisdictions; work with outside agents for filing out-of-state documentation; following up on filings
- Assist with corporate transactions including mergers & acquisitions, capital market transactions, venture capital investments, financing, and private equity.
- Preparing Stock Certificates
- Preparing and revising organizational charts
- Maintain closing checklists and documents for corporate transactions.
- Retrieve public records.
- Prepare and file UCC Financing statements.
- Perform research of UCC and laws governing business organizations
- Perform UCC/lien searches.
- Coordinate documents retrieval from government agencies, review corporate public records and draft analyses.
- Maintain corporate minute books.
