JOB DESCRIPTION - Paralegal- Corporate

Schedule - 9:00 a.m. - 6:00 p.m., Monday - Friday (flexible on time- 8 hour day)

MINIMUM EDUCATION AND REQUIREMENTS The successful candidate will have a Bachelor's Degree and/or Paralegal Certificate and 4+ years of Corporate experience in a mid to large law firm setting.

ESSENTIAL JOB DUTIES

  1. Prepare and file entity documents with Secretary of State offices, including formations, amendments, merger documents, dissolutions, foreign registration cancellations;
  2. Prepare organizational documents and resolutions for entity formations, foreign state qualifications, mergers, conversions, and dissolutions for corporations (including nonprofit corporations and professional corporations), limited liability companies, general and limited partnerships, and limited liability partnerships in various states; Draft officer certificates certifying the same; Prepare corporate and securities filings for the same (often with California DFPI, Department of Financial Protection and Innovation);
  3. Prepare stock certificates, stock powers, stock purchase agreements, subscription agreements and documents related to stock issuances, including sock transfer ledgers;
  4. Prepare and file Statements of Information for professional corporation partners; monitor and track filing deadlines for the same;
  5. Prepare and file annual renewals and semi-annual reports for firm's tax agents;
  6. Prepare regulatory filings, including IRS and state Department of Revenue filings, charitable registrations, and renewal/maintenance filings;
  7. Prepare board and shareholder meeting minutes;
  8. Maintain and manage entity capitalization (cap) tables for various entities on Carta (equity tracking platform);
  9. Obtain good standing certificate, certified documents and UCC and other lien searches from state agencies;
  10. Conduct and analyze UCC and lien searches and prepare summary charts; Prepare UCC financing statements;
  11. Coordinate obtaining respective Secretary of State office document apostille for notarized documents and documents issued by government agencies for use in foreign counties;
  12. Prepare and file fictitious business name statements and business license applications; Assist with tracking and monitoring deadlines for the same for multiple clients;
  13. Manage and maintain entity maintenance filings for multiple clients;
  14. Prepare and file Statements of Information for professional corporation partners; Monitor and track filing deadlines for the same;
  15. Prepare and file annual renewals and semi-annual reports for firm's tax agents.
